Corporate Governance and the Board

Corporate Governance and the Board

A number of current issues and themes in Corporate Governance are claimed, by various commentators and writers, to impact either positively or negatively upon an organisation’s performance.

Board independence; board diversity; board composition (the make-up of the board in terms of skills, experience, qualifications, etc.); the board’s involvement in developing strategy; board processes; the firm’s ownership structure; duality (the CEO and Chair being the same person); and board-management relationships; have all either singly or in combination, at some time, been claimed to have either a positive or a negative impact upon an organisation’s performance – financial or otherwise.

a) What evidence is there to either support or reject such claims?
b) What conclusions have you, yourself, reached in support or rejection of such claims?
